  Biography
  Crispine is a graduate of both University of Nairobi’s Law School and the Kenya School of Law and a 2007 participant in the International Lawyers for Africa (ILFA) Scholarship Programme with Linklaters LLP (London), College of Law and Cambridge University in the United Kingdom.

He has got extensive experience in Transactional advisory work, Telecommunications and ICT, Project finance and corporate restructurings including M & A, Divestitures, PE investments and capital markets.

He has recently been involved in a number of Corporate Financing Transactions including a multilateral Loan Transaction for Kenya Electricity Generating Limited to upgrade its Geothermal Facilities, a development finance for a private university, development of regulatory rules and other reforms in the Petroleum Sub-sector on behalf of the Ministry of Energy, Development of an EAC Policy and Law on anti-counterfeiting, piracy and other Intellectual property Violations, Tax Advisory to a Mombasa based Bulk Handling company and Review and providing legal Advisory services to the Communications Commission of Kenya.

  • Advising Ecobank Transnational Incorporated on the Acquisition of EABS Bank Limited by way of a 75% share purchase. EABS Bank has since been renamed Ecobank Kenya Limited.
  • Advising on Kshs. 0.32 Billion Project Finance for development of the Proposed Inoorero University.
  • Consultant to the East African Community on the development of an EAC Policy on Ant-counterfeiting, piracy and other IPR Violations.
  • EAC Consultant (Legal and Regulatory Issues) on the Feasibility Study for the EAC Broadband Infrastructure Network (EAC-BIN)
  • Ongoing Advisory to Safaricom Limited on Licensing and other Market Regulatory Issues
  • Advising Kenya Pipeline Company and the Ministry of Energy on the Collateral Financing issues subsequent to irregularities in the management of the system and developing new regulatory tools and commercial terms.

  • Advising a leading Private Hotel Company operating in the Tsavo area on disputes of access, and development Plans of expansion with the Kenya Wildlife Services in December 2006.
  • Advised the Purchasers in multi-asset acquisition and takeover of three Kenyan air operators on behalf of Aircrafts Contracts Kenya Limited/Aircrafts Contracts South Africa Limited.
  • Advised Longhorn Kenya Limited acquisition of Sasa Sema Publications and in the assignment conducted Transactional Due Diligence, drafted the various Transaction Agreements, Company resolutions and obtained necessary regulatory approvals.

  • Legislative drafting – involved in drafting of The Kenya Tourism Bill 2007 for the Ministry of Tourism (2007).

  • Advising the Kenya Electricity Generating Company Limited (KenGen) in the months preceding it’s Initial Public Offer (“IPO”) in 2005 on aspects of outstanding claims by and against the company by various suppliers, the prospects of such claims and recommendations on how to conclude such claims.
  • Advising a Licensed Fund Manager in disputes relating to qualifications of its directors with the Capital Markets Authority and the continued operation of the Fund as a Collective Investment Scheme.
