Founded in 1988, Mohammed Muigai has grown to become a leading law firm in Kenya. Recognised for its pre-eminence in providing specialised regulatory advisory services, high level dispute resolution (through both litigation and alternative dispute resolution mechanisms) and handling complex and big value property transactions, the firm has a keen understanding of the legal, commercial and regulatory environment in Kenya. Among other areas, we have substantial expertise in: Corporate Governance, Public Sector work including Public Private Partnership (PPP) and Public Procurement. Our Policy/Legislative formulation and Institutional/Regulatory reform expertise is particularly strong, given the work our team has carried out for government and other public bodies. We are also proficient in corporate and financial services; advising on corporate restructurings, mergers and acquisitions, intellectual property, employment law matters, insurance and taxation matters, as well as conducting commercial litigation and arbitration.
Today we have five partners, seven associates, two specialist consultants, seven legal assistants and a dedicated team of support staff offering expert legal advice to businesses, corporate entities, banks, insurance and financial institutions, governments and private clients. Members of the firm have varied educational and professional backgrounds with unique exposure to the Kenyan and other legal systems helping the firm to better understand our clients’ businesses and to find answers to their needs in diverse areas such as banking, finance, insurance, energy, telecommunications and transportation. In order to increase our responsiveness to the dynamic legal needs in the region, we place great premium on continual learning to complement the advanced and specialized degrees that partners and associates hold. To effectively cater for its clientele, the firm is organized into four departments as follows:
The Commercial Transactions Department provides a wide range of commercial advisory services to clients including undertaking due diligence, negotiating restructurings, advising on public listing, rights issues, asset sales and financing through single lender or syndicate loans. We have developed particular expertise in Capital Markets, Energy and Infrastructure, Information and Communication Technology and Financial Services. As a result of such broad expertise, we are able to advise on a wide range of issues, generating solutions to complex matters.
The Legal Advisory and Consultancy Group focuses on providing consultancy services to government, private and public institutions on statutory and regulatory reform. The firm has been involved in numerous projects including the Task Force on Laws Affecting Women, the Draft Bill on the reform of Penal Laws, Family Law and the Criminal Procedure Rules. Mohammed Muigai also drafted the Tourism Bill 2007; the Media Act 2007; the Gender Laws Bill including the Marriage Bill, the Domestic Protection Bill, the Matrimonial Property Bill and the Equal Opportunities Bill all of 2007; the Kenya Communications Regulations 2007; the Penal Laws Amendment Act, 2003 and the Kenya School of Law Bill. Additionally, we also have significant experience in institutional reform, advising variously on the major rules and regulations for the Office of the Attorney General and the Council of Legal Education. Mohammed Muigai has advised the Centre for Corporate Governance, the Kenya Law Reform Commission, the Federal Republic of Somalia and the office of the Director of Public Prosecutions. Quite significantly, we continue to benefit from expertise gained during the involvement of our Senior Partner in the Business Laws Committee of the Law Reform Commission where reforms to the country’s commercial laws were proposed. We have worked with government agencies, private firms, regional institutions and their donor partners in giving high-level strategic legal and regulatory advice which achieve project objectives, enhance sector development and prioritize national growth strategies.
The Litigation and Arbitration Department is involved in day to day litigation before the Kenya Courts, tribunals both domestic and international and represents clients in arbitrations and before regulators. With a hard to rival success rate in the country, the department ensures that Mohammed Muigai remains the firm to see with complex litigation and arbitration matters.
Real Estate Transactions Department deals with Land and Conveyancing transactions including: transfers, conveyances, leases, sale agreements and subdivisions. The department also advises on change of user, negotiations of securities such as charges and mortgages. The department assists clients in setting up property schemes for residential and commercial estates including preparation of title documents; in applying for and obtaining titles to land, processing and utilizing such titles to raise finance from lending institutions. The department also undertakes registration of mortgages, leases and other encumbrances on land titles, registration of transfers and dispositions of titles in receivership, and other asset securitizations. It is also tasked with undertaking all aspects of due diligence prior to listing securities, share and asset transfers or sales and lending contracts.
Mohammed Muigai is entirely computerized and maintains an extensive and secure database (both electronic and physical) of documents necessary to undertake its litigation, commercial/consultancy and conveyance portfolios.
